Overview

These Terms of Service ("Terms") govern your access to and use of Verant, an AI‑powered proofreading and verification service operated by Lore Studio LLC d/b/a Verant ("Lore Studio," "Verant," "we," "us," or "our"). By accessing or using our website and applications, AI proofreading tools, and any related features, APIs, or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

Eligibility

  • You must be at least 13 years old to use the Services (or the minimum age of digital consent in your jurisdiction if higher; e.g., 16 in parts of the EEA). If you are under the age of majority in your jurisdiction, you may use the Services only with consent of a parent or legal guardian who accepts these Terms on your behalf, and we may require verifiable parental consent.
  • If you process personal data through the Services, you represent that you have a lawful basis to do so and will comply with applicable data protection laws (e.g., GDPR/UK GDPR, CCPA/CPRA) as relevant to your use.

Your Account

  • Keep your credentials confidential and accept responsibility for activity under your account.
  • Provide accurate information and update it as needed.
  • Notify us promptly of any unauthorized access or use of your account.
  • We may suspend or terminate accounts that violate these Terms.

Subscriptions, Billing, and Taxes

  • Plans: Monthly and annual subscriptions auto‑renew by default until you cancel. Subscriptions are processed by Stripe.
  • Trials and limits: We may offer free or trial usage with usage limits that may change.
  • Cancellation: Cancel anytime with Manage billing on your Account page or by emailing support@verant.ai; access continues through the end of the current billing period. No refunds for partial periods or unused Services (except where required by law).
  • Price changes: We may change prices with at least 30 days' notice via email or in‑app notification. Changes take effect on your next renewal unless you cancel before renewal.
  • Taxes: You are responsible for any applicable taxes, duties, or fees.
  • Promotions: Promotions, discounts, or coupon codes may include additional terms and are void where prohibited.

Acceptable Use

  • Do not violate any law or infringe others' rights.
  • Do not attempt to bypass security, rate limits, or usage quotas, or interfere with the integrity or performance of the Services.
  • Right to scan. You may only submit a URL you own or are otherwise authorized to scan. By submitting a URL you represent that you have the right to have its publicly accessible pages rendered and proofread. Verant scans only publicly accessible pages — it does not log in, bypass paywalls, or access content behind authentication. Our full‑site crawler can use sitemap hints from robots.txt, but its Disallow directives do not limit a scan you explicitly request. We still skip common non‑content paths (cart, checkout, login, account) and crawl to a bounded depth. Single‑page scans render only the exact URL you provide. You are solely responsible for the legality of each scan you initiate.
  • No abusive scanning. Don't use Verant to scan a site in a way that is burdensome to that site or its host (e.g., repeated full‑site scans of a third‑party site you don't own, or scans intended to load‑test or disrupt). We may rate‑limit, queue, or refuse any scan at our discretion.
  • Do not scan, crawl, or submit content you are not authorized to process. Avoid submitting sensitive data unless you have a lawful basis and appropriate safeguards (e.g., health information, financial account numbers, government IDs, special‑category data under GDPR, or other regulated information).
  • Do not use the Services for high‑risk activities (e.g., automated decisions affecting legal rights such as employment or credit decisions) without appropriate human review and safeguards.
  • Do not reverse engineer or misuse the Services or underlying models.
  • Do not upload malicious code or illegal, harmful, or deceptive content.
  • Do not conduct automated scraping or bulk submissions without our prior written approval.

Service Description and AI Guidance

Verant renders pages via Cloudflare Browser Rendering and routes proofreading to third‑party AI providers through an AI gateway (which may include xAI, Anthropic, and OpenAI). We may switch or add AI providers without notice, and will update these Terms if changes are material. We strive to request non‑retention and no‑training settings where available. Results are probabilistic and may be inaccurate or incomplete. Verant applies structured output checks and quotes the source text for each suggestion. These controls do not eliminate error — always confirm a suggestion before acting on it. Findings are not professional editorial, legal, or compliance advice. The Services are not legal, compliance, or professional advice—you are responsible for reviewing and implementing any suggested changes.

Your Content

You retain ownership of content you submit. You grant us a worldwide, non‑exclusive, royalty‑free license to host, process, and display your content solely to provide and improve the Services (including abuse prevention and troubleshooting). You represent and warrant that you have all necessary rights to submit your content and that it does not infringe any third‑party rights. We may remove content that violates these Terms and may delete content upon or after account termination. We do not use your content to train our or third‑party foundation models.

Shared Reports

Verant may let you generate a shareable link to a scan's findings. Reports present machine-generated suggestions about publicly visible page copy — not statements of fact about the site, its owner, or its quality. Suggestions are produced by AI models and may be wrong. If you share a report about a site you don't own, you are responsible for how you use and distribute it. We may disable any shared link at any time.

Third‑Party Services

We rely on providers including Stripe (billing), Cloudflare (hosting, D1, R2, browser rendering, and transactional email delivery), and AI providers (xAI, Anthropic, OpenAI) via our gateway. Your use of third‑party services may be subject to their terms and policies. We are not responsible for third‑party downtime, changes, or data practices.

Intellectual Property

The Services, including software, models, site design, and content we provide (excluding your content), are owned by us or our licensors and are protected by intellectual property laws. Except as permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Services.

Beta, Changes, and Availability

We may add or remove features, adjust usage limits, or update the Services. Beta or pre‑release features are provided "as is" and may be discontinued at any time.

Termination

You may stop using the Services at any time. We may suspend or terminate your access for any reason, including violations or to protect the Services. Where feasible, we will provide notice, except in urgent cases. Upon termination, your right to use the Services ends, except for provisions that by their nature survive.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Services will be uninterrupted, accurate, or error‑free.

Limitation of Liability

To the maximum extent permitted by law, in no event will Lore Studio LLC or its affiliates, directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, cover, or punitive damages, or any loss of profits, revenue, data, or use, arising from or in connection with the Services, even if advised of the possibility. Our total liability is limited to the amounts you paid for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

Indemnification

You will indemnify and hold harmless Lore Studio LLC and its affiliates, officers, agents, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services (including any scan you initiate of a site you do not own), or your violation of these Terms or law.

Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict‑of‑law principles. If you reside in the EEA/UK, this does not affect any mandatory consumer rights you may have under applicable law.

Binding Arbitration; Class‑Action Waiver: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at www.adr.org). Arbitration will take place in the State of Texas, or virtually by mutual agreement. You and we waive any right to a jury trial. Class and representative actions are not permitted; disputes must be brought on an individual basis only. This does not prevent either party from seeking relief in small claims court or injunctive relief for misuse of intellectual property.

Opt‑out: You may opt out of arbitration within 30 days of creating your account by emailing support@verant.ai with subject "Arbitration Opt‑Out" and your account email.

Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., email, in‑app, or on our website) at least 30 days before they take effect where required. The "Last updated" date above reflects the effective date. If you do not agree to changes, stop using the Services before they take effect.

Miscellaneous

Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment: We may assign or transfer these Terms; you may not assign without our prior written consent.
Entire agreement: These Terms constitute the entire agreement between you and us regarding the Services and supersede prior or contemporaneous agreements on the subject.
Force majeure: We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, outages, labor disputes, cyberattacks, acts of government).
Electronic communications: You consent to receive communications from us electronically (e.g., email, in‑app notices), and agree that such communications satisfy any legal requirements for written notices.
